Terms of Service

Please read the following terms of service agreement carefully. By accessing or using our sites and our services, you hereby agree to be bound by the terms and all terms incorporated herein by reference. It is the responsibility of you, the user, customer, or prospective customer to read the terms and conditions before proceeding to use the site. If you do not expressly agree to all of the terms and conditions, then please do not access or use our sites or our services. This terms of service agreement is effective as of 09/17/2021.

Acceptance of Terms

The following Terms of Service Agreement (the "TOS") is a legally binding agreement that shall govern the relationship with our users and others which may interact or interface with Tribble Digital, LLC, also known as Tribble Digital, located at 3300 Sandpiper Circle, Northlake, Texas 76226 and our subsidiaries and affiliates, in association with the use of the Tribble Digital website, which includes tribbledigital.com, (the "Site") and its Services, which shall be defined below.

Description of Website Services Offered

The Site is an informational and agency website which has the following description: Tribble Digital offers and may offer applications, reports, courses, trainings, Facebook advertising, social media services, landing page development, CRO and consulting to people that are looking to grow their business.

Any and all visitors to our site, despite whether they are registered or not, shall be deemed as "users" of the herein contained Services provided for the purpose of this TOS. Once an individual registers for our Services, through the process of signing an agreement provided by Tribble Digital, the user shall then be considered a "member."

The user and/or member acknowledges and agrees that the Services provided and made available through our website and applications are the sole property of Tribble Digital, LLC. At its discretion, Tribble Digital, LLC may offer additional website Services and/or products, or update, modify or revise any current content and Services, and this Agreement shall apply to any and all additional Services and/or products and any and all updated, modified or revised Services unless otherwise stipulated. Tribble Digital, LLC does hereby reserve the right to cancel and cease offering any of the aforementioned Services and/or products.

You, as the end user and/or member, acknowledge, accept and agree that Tribble Digital, LLC shall not be held liable for any such updates, modifications, revisions, suspensions or discontinuance of any of our Services and/or products. Your continued use of the Services provided, after such posting of any updates, changes, and/or modifications shall constitute your acceptance of such updates, changes and/or modifications, and as such, frequent review of this Agreement and any and all applicable terms and policies should be made by you to ensure you are aware of all terms and policies currently in effect.

Furthermore, the user and/or member understands, acknowledges and agrees that the Services offered shall be provided "AS IS" and as such Tribble Digital, LLC shall not assume any responsibility or obligation for the timeliness, missed delivery, deletion and/or any failure to store user content, communication or personalization settings.

Program Nature — Educational Content

The Direct-to-Consumer Sales Engine and all related trainings, templates, dashboards, checklists, and consultations are educational in nature. Except where Tribble Digital and a client have entered into a written operating agreement that expressly provides a performance guarantee (see "Performance Guarantee" below), we do not guarantee any earnings, revenue, profits, lead volume, ad performance, or other outcomes. Any implementation decisions and results are your responsibility and depend on factors outside our control, including your product, offer, market conditions, ad spend, targeting, website speed/UX, and execution.

Registration

To register and become a "member" of the Site, you must be at least 18 years of age to enter into and form a legally binding contract. In addition, you must be in good standing and not an individual that has been previously barred from receiving Tribble Digital's Services under the laws and statutes of the United States or other applicable jurisdiction.

When you register, Tribble Digital may collect information such as your name, e-mail address, birth date, gender, mailing address, occupation, industry and personal interests. You can edit your account information at any time.

Furthermore, the registering party hereby acknowledges, understands and agrees to: (a) furnish factual, correct, current and complete information with regards to yourself as may be requested by the data registration process, and (b) maintain and promptly update your registration and profile information in an effort to maintain accuracy and completeness at all times. If anyone knowingly provides any information of a false, untrue, inaccurate or incomplete nature, Tribble Digital, LLC will have sufficient grounds and rights to suspend or terminate the member in violation of this aspect of the Agreement.

Privacy Policy

Every member's registration data and various other personal information are strictly protected by the Tribble Digital, LLC Online Privacy Policy. As a member, you herein consent to the collection and use of the information provided, including the transfer of information within the United States and/or other countries for storage, processing or use by Tribble Digital, LLC and/or our subsidiaries and affiliates.

Third-Party Services and Data Usage

To deliver certain services (including but not limited to advertising reporting, analytics dashboards, and user account access), Tribble Digital utilizes secure third-party platforms and tools, including but not limited to:

• Supabase – for secure user authentication, data storage, and dashboard services hosted on dashboard.tribbledigital.com
• Google Ads API, Facebook Ads API, and related advertising APIs – to retrieve authorized advertising performance data on behalf of clients, with consent

All data collected or displayed via these services (including account-level advertising metrics) is accessed and processed in compliance with each platform's terms of service and data usage policies. By using our services, you agree to allow Tribble Digital and its third-party providers to securely access, store, and process your data in accordance with this agreement and our Privacy Policy. You may request removal of your stored data at any time by contacting alec@tribbledigital.com.

Third-Party Platform Access & Limitations

By using our Services you authorize Tribble Digital to access and configure relevant third-party platforms (e.g., Meta, Google, TikTok, Shopify, Klaviyo) on your behalf, to the extent you grant permissions. You remain responsible for your platform compliance, billing, budgets, and account health. Platform policies, outages, review times, tracking changes, or enforcement actions are outside our control and do not create any guarantee of delivery, approval, or performance.

Member Account, Username, Password and Security

When you set up an account, you are the sole authorized user of your account. You shall be responsible for maintaining the secrecy and confidentiality of your password and for all activities that transpire on or within your account. It shall be your responsibility to notify Tribble Digital, LLC immediately if you notice any unauthorized access or use of your account or password or any other breach of security. Tribble Digital, LLC shall not be held liable for any loss and/or damage arising from any failure to comply with this term and/or condition of the TOS.

Conduct

As a user or member of the Site, you herein acknowledge, understand and agree that all information, text, software, data, photographs, music, video, messages, tags or any other content, whether it is publicly or privately posted and/or transmitted, is the expressed sole responsibility of the individual from whom the content originated. You are solely responsible for any and all content posted, uploaded, emailed, transmitted or otherwise made available by way of the Tribble Digital Services, and as such, we do not guarantee the accuracy, integrity or quality of such content.

Furthermore, you herein agree not to make use of Tribble Digital, LLC's Services for the purpose of: (a) uploading or transmitting any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, or invasive of another's privacy; (b) causing harm to minors in any manner; (c) impersonating any individual or entity, or misrepresenting any affiliation; (d) forging headers or otherwise offering content you have no right to; (e) infringing any patent, copyright, trademark, or other proprietary right; (f) offering content you have no contractual or fiduciary right to disclose; (g) transmitting unsolicited or unauthorized advertising, "junk mail," or "spam"; (h) transmitting any software viruses or harmful code; (i) disrupting the normal flow of communication; (j) interfering with or disrupting the Services, servers, or networks; or (k) violating any local, state, federal, national or international law. You are prohibited from making any attempt to override or circumvent any of the embedded usage rules in our Services.

Interstate Communication

Upon registration, you hereby acknowledge that by using tribbledigital.com to send electronic communications, you will be causing communications to be sent through our computer network. Therefore, through your use, and thus your agreement with this TOS, you are acknowledging that the use of this Service shall result in interstate transmissions.

Caution for Global Use and Export and Import Compliance

Due to the global nature of the internet, through the use of our network you hereby agree to comply with all local rules relating to online conduct and acceptable Content, and with all applicable export and import laws, statutes and regulations, including, but not limited to, the Export Administration Regulations and the sanctions control programs of the United States. You state that you are not on any government export exclusion report, agree not to transfer software or technical data to any export-prohibited country, and agree not to use our Services for any military, nuclear, missile, chemical or biological weaponry end uses in violation of U.S. export laws.

Content Placed or Made Available for Company Services

Tribble Digital, LLC shall not lay claim to ownership of any content submitted by any visitor, member, or user. By submitting content for inclusion on the publicly accessible areas of our sites, you grant Tribble Digital, LLC a worldwide, royalty-free and non-exclusive license to use, distribute, reproduce, modify, adapt, publicly perform and/or publicly display said content for the sole purpose of providing and promoting the specific area in which the content was placed. This license terminates at such time when you elect to discontinue your membership.

Contributions to Company Website

When you submit ideas, documents, suggestions and/or proposals ("Contributions") to our site, you acknowledge and agree that: (a) your contributions do not contain any type of confidential or proprietary information; (b) Tribble Digital shall not be liable or under any obligation to ensure or maintain confidentiality related to any Contributions; (c) Tribble Digital shall be entitled to make use of and/or disclose any such Contributions in any manner as they see fit; (d) the contributor's Contributions shall automatically become the sole property of Tribble Digital; and (e) Tribble Digital is under no obligation to compensate or provide any form of reimbursement.

Indemnity

All users and/or members herein agree to insure and hold Tribble Digital, LLC, our subsidiaries, affiliates, agents, employees, officers, partners and/or licensors blameless or not liable for any claim or demand, including reasonable attorney fees, made by any third party which may arise from any content a member or user submits, the use of Tribble Digital Services or your connection with these Services, your violations of the Terms of Service and/or your violation of any rights of another person.

Commercial Reuse of Services

The member or user herein agrees not to replicate, duplicate, copy, trade, sell, resell nor exploit for any commercial reason any part, use of, or access to Tribble Digital's sites. As a member, you may cancel or terminate your account and/or access to our Services by submitting a request to alec@tribbledigital.com.

You agree that Tribble Digital, LLC may, without prior written notice, immediately suspend, terminate, discontinue and/or limit your account and access to any of our Services for cause, including but not limited to: (a) any breach or violation of our TOS; (b) requests from law enforcement or governmental agencies; (c) the discontinuance or material modification of our Services; (d) unexpected technical or security issues; (e) extended periods of inactivity; (f) any engagement in fraudulent or illegal activities; and/or (g) the nonpayment of any associated fees. Any such termination shall be made at our sole discretion and we shall not be liable to you or any third party with regard to it.

Advertisers

Any correspondence or business dealings with, or participation in promotions of, advertisers located on or through our Services are solely between you and any such advertiser. You agree that Tribble Digital, LLC shall not be held responsible or liable for any loss or damage incurred as a result of any such dealings or the presence of such advertisers on our website.

Links

Either Tribble Digital, LLC or any third parties may provide links to other websites and/or resources. You acknowledge and agree that we are not responsible for the availability of any such external sites or resources, and that we do not endorse and are not responsible or liable for any content, products, advertising or other materials available from such third-party sites or resources.

Proprietary Rights

You acknowledge and agree that Tribble Digital, LLC's Services and any essential software used in connection with our Services ("Software") contain proprietary and confidential material protected by applicable intellectual property rights and other laws. Except as expressly permitted by applicable law or authorized by Tribble Digital, LLC, you agree not to alter, modify, lease, rent, loan, sell, distribute, transmit, broadcast, publicly perform and/or create any plagiaristic works based on Tribble Digital, LLC Services, in whole or part. Tribble Digital, LLC grants you personal, non-transferable and non-exclusive rights to use the object code of our Software on a single computer, provided you do not allow any third party to duplicate, alter, reverse engineer, or otherwise transfer any right in the Software.

Warranty Disclaimers

You herein expressly acknowledge and agree that: (a) the use of Tribble Digital, LLC Services and software are at your sole risk, and our services and software shall be provided on an "as is" and "as available" basis. Tribble Digital, LLC and our subsidiaries, affiliates, officers, employees, agents, partners and licensors expressly disclaim any and all warranties of any kind, whether expressed or implied, including any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement. (b) We make no warranties that the Services or software will meet your requirements, be uninterrupted, timely, secure or error-free, or that results obtained will be accurate or reliable. (c) Any material downloaded or obtained through our Services is accessed at your sole discretion and risk. (d) No advice or information, whether written or oral, obtained by you from Tribble Digital, LLC shall create any warranty not expressly stated in the TOS.

Earnings & Results Disclaimer

From time to time we may reference figures such as "up to $400k/mo," ROAS improvements, AOV increases, or other performance metrics. Except where a written operating agreement expressly provides a performance guarantee (see "Performance Guarantee" above), these references are illustrative and based on specific client contexts; they are not typical and do not constitute a promise or guarantee that you will achieve similar results. Your results will vary.

Testimonials, Case Studies, & Endorsements

Testimonials and case studies reflect real experiences of clients; results vary and are not intended to represent or guarantee that any person will achieve the same or similar results. Some names, images, or non-material details may be altered to protect privacy. We do not pay for testimonials; if any material connection exists (e.g., affiliate/referral), it will be disclosed where required.

Limitation of Liability

You explicitly acknowledge, understand, and agree that Tribble Digital, LLC, and our subsidiaries, affiliates, officers, employees, agents, partners, and licensors shall not be liable to you for any punitive, indirect, incidental, special, or consequential damages, including damages related to the loss of any profits, goodwill, use, or data, even if we have been advised of such possibility, resulting from: (a) the use or inability to use our service; (b) the cost of producing substitute goods and services; (c) unauthorized access to or alteration of your transmissions and/or data; (d) statements or conduct of any third party on our service; and (e) any other matter related to our service.

Release

In the event you have a dispute, you agree to release Tribble Digital, LLC (and its officers, directors, employees, agents, parent, subsidiaries, affiliates, co-branders, partners and any other third parties) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected to such dispute.

No Legal, Financial, or Tax Advice

Content provided by Tribble Digital, including playbooks, programs, and consultations, is not legal, financial, or tax advice. You should consult qualified professionals for those matters.

Choice of Law and Forum

It is at the mutual agreement of both you and Tribble Digital, LLC that the relationship between the parties shall be governed by the laws of the State of Texas without regard to its conflict of law provisions, and that any and all claims, causes of action and/or disputes arising out of or relating to the TOS shall be filed within the courts having jurisdiction in the State of Texas. You and Tribble Digital, LLC agree to submit to the jurisdiction of such courts and waive any objections to venue therein.

Waiver and Severability of Terms

At any time, should Tribble Digital, LLC fail to exercise or enforce any right or provision of the TOS, such failure shall not constitute a waiver of such right or provision. If any provision of this TOS is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the TOS remain in full force and effect.

Statute of Limitations

You acknowledge, understand and agree that regardless of any statute or law to the contrary, any claim or action arising out of or related to the use of our Services or the TOS must be filed within 5 year(s) after said claim or cause of action arose or shall be forever barred.

Mobile Terms of Service

The Tribble Digital mobile message service (the "Service") is operated by Tribble Digital. Your use of the Service constitutes your agreement to these terms and conditions ("Mobile Terms"). By consenting to Tribble Digital's SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of Tribble Digital through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase. Message frequency varies.
